General Terms and Conditions
These terms govern the use of the VIVEQODE platform for dynamic QR codes as well as the purchase of shop add-ons (e.g. web business card, QR merch) and recurring subscription services.
Last updated: 9 October 2026
1. Scope
These terms apply to all agreements between SEE Service Group, owner Sascha Ernst, Franklinstr. 18, 58089 Hagen, Germany (brand "ViveQode", hereinafter the "provider") and users/customers (hereinafter the "customer") regarding use of the web platform, subscription plans and shop add-ons.
Deviating terms of the customer apply only if the provider has expressly agreed to them in writing.
2. Services provided by VIVEQODE
- Provision of a platform for dynamic content behind static QR codes
- Management of QR codes, destination pages, scheduling and content changes in the dashboard
- Public destination pages (e.g. simple page, business card, board formats)
- Shop for add-ons such as QR merch and digital web business card
- Optional analytics functions (depending on booked subscription plan)
3. Registration and customer account
A customer account is required to use protected areas. The customer must provide complete and truthful information and keep access credentials confidential.
The customer is liable for activities carried out via the account insofar as these were enabled by a culpable breach of due care obligations.
4. Subscription plans and scope of services
VIVEQODE offers different subscription plans with varying service scopes (e.g. number of active codes, scheduling, analytics functions). The specific scope of service is defined by the current product and pricing description on the website.
Analytics and tracking functions are not automatically included in all services and may be tied to certain subscription plans (e.g. unlocked from Creator).
4a. Free trial
The Creator, Pro and Business plans include a free 14-day trial once per customer, with the full scope of the chosen plan. A payment method must be stored with Stripe to start; nothing is charged during the trial.
If the customer does not cancel before the trial ends, it automatically converts into a paid subscription of the chosen plan and billing period; the first payment is due when the trial ends. Cancelling during the trial is possible at any time in the customer portal, via the cancellation button (Cancel contracts here) or by email, and ends access at the end of the trial.
5. Shop add-ons (one-time purchases)
Shop add-ons (e.g. digital web business card, QR T-shirt, QR hoodie) are offered as separate products and can be purchased independently of the subscription plan.
- Each purchase creates an additional QR code or additional entitlement in the account
- The desired URL ending is defined and reserved once during checkout
- After successful provisioning, the URL ending is generally not changeable
- Analytics/tracking functions continue to depend on the subscription plan, not on the add-on itself
- Shop add-ons are lifetime products: the associated QR code remains scannable permanently regardless of subscription status; editability of the content depends on the currently active plan (see § 7a).
- Trademarks: the customer warrants that the chosen vanity slug does not infringe any third-party trademark or naming rights. Upon a third party's legitimate claim the provider may transfer the slug after prior hearing.
- Resale prohibited: resale, paid transfer or speculative hoarding of vanity slugs is forbidden. Violations may result in deactivation without compensation.
- Limits: maximum 25 lifetime codes per order, maximum 50 per customer per month without prior sales agreement.
6. Contract conclusion, prices and payment
The presentation of services and products on the website does not constitute a legally binding offer but an invitation to place an order or request.
Process: the customer selects a product in the shop or a plan in the dashboard, accepts the terms and the note on the right of withdrawal and is redirected to Stripe's payment page, where all details can be reviewed and corrected. Clicking the payment button constitutes a binding offer; the contract is concluded with the payment confirmation we send by email. Contract languages are German and English.
We do not store the contract text separately. The customer receives the order confirmation and invoice by email; these terms are always available at viveqode.com/en/legal/agb and can be saved or printed.
Prices result from the current price overview and are in euros including 19% VAT. Shipping costs and delivery times for physical products are shown in the product view and at checkout.
Payment is made via Stripe using the payment methods offered there. Subscription fees are due in advance at the start of each billing period, one-time purchases with the order.
7. Term, cancellation and suspension
Subscriptions run for one month or one year as chosen and renew automatically for the same period unless cancelled beforehand. Monthly subscriptions can be cancelled at any time effective at the end of the current month.
Annual subscriptions can be cancelled effective at the end of the term. For consumers: after the first term an annual subscription only continues for an indefinite period and can then be cancelled at any time with one month's notice (§ 309 no. 9 BGB); fees paid in advance for the period after the contract ends are refunded pro rata.
The customer can cancel in the customer portal (Dashboard → Subscription), via the cancellation button "Cancel contracts here" at viveqode.com/en/kuendigen or by email to contact@viveqode.com. After the contract ends the Free plan applies; existing codes remain scannable under § 7a. The right to terminate for good cause remains unaffected.
The provider may temporarily suspend accounts, content or QR codes if there are concrete indications of legal violations, abuse, security risks or material breaches of these terms.
For existing customers with a subscription concluded before a price change, the provider guarantees the originally agreed price for as long as the subscription continues uninterrupted (grandfathering).
7a. QR code lifetime
Core rule: every QR code created on ViveQode remains scannable for the entire operating time of the platform — even after subscription expiry, plan downgrade to Free or account deletion (in anonymized form). This lifetime guarantee protects customers' investments in printed marketing material.
Editability of the content depends on the current plan:
- With an active subscription: full feature scope per plan.
- Free plan after subscription end — so-called subscription-slot codes: scannable with the last saved content, read-only. Re-upgrade fully reactivates editing.
- Lifetime codes (purchased as a pack, with promotional apparel or web business card) remain reachable with plain-text editing regardless of subscription status.
Wind-down: should the provider cease operations, customers will be informed in writing at least 6 months in advance. During this period a reasonable migration path is offered and remaining subscription terms are refunded pro-rata.
The provider may deactivate codes whose content violates applicable law or § 8. Where the customer's subsequent content change leads to deactivation, no claim exists for refund of printing or marketing expenses.
8. Customer obligations / permitted use
The customer may use the platform only within applicable law. In particular, content or links that violate criminal law, youth protection rules, copyright, trademark rights or other third-party rights are prohibited.
- no unlawful, misleading or fraudulent content
- no malware, phishing destinations or technical abuse attempts
- no unauthorized use of third-party brands, names or personal data
9. Rights to content and usage rights
The customer remains responsible for content provided and assures that they hold the necessary rights for use, publication and linking.
The customer grants the provider the non-exclusive usage rights required for platform operation (e.g. storage, processing, delivery and technical reproduction).
10. Availability and technical changes
The provider aims for high platform availability but does not owe uninterrupted and error-free availability. Maintenance, security updates, further development and necessary infrastructure measures may lead to temporary restrictions.
The provider may further develop, change or discontinue functions insofar as the contractual purpose is not unreasonably impaired.
11. Liability
The provider is liable without limitation in cases of intent and gross negligence as well as injury to life, body or health. In cases of slight negligence, the provider is liable only for breach of essential contractual obligations and limited to foreseeable, typical damages.
Liability for customer content, links and destination pages is excluded to the extent permitted by law. The customer indemnifies the provider against third-party claims based on unlawful customer content insofar as the customer is responsible for the infringement.
11a. Warranty
Statutory warranty rights apply. For digital products and services (platform, codes, web business card) the provider supplies the updates required to keep them in conformity during the contract term (§§ 327 ff. BGB). Please report defects to contact@viveqode.com.
11b. Data processing for business customers
Where the provider processes personal data on behalf of business customers (in particular scan analytics and content containing third-party data), the parties conclude a data processing agreement under Art. 28 GDPR on request.
11c. Changes to these terms
The provider may change these terms for existing subscriptions with effect for the future where this is necessary because of new features, changes in the law or technical requirements and does not unreasonably disadvantage the customer. Changes are announced by email at least six weeks before they take effect. If the customer does not object before then, they are deemed accepted; the provider points out this consequence in the notice. In case of objection both parties may terminate the subscription effective on that date. Prices and the core of the service are not changed this way.
12. Privacy
Information on the processing of personal data can be found in the Privacy Policy.
13. Final provisions
German law applies excluding the UN Convention on Contracts for the International Sale of Goods, unless mandatory consumer protection provisions provide otherwise.
If individual provisions of these terms are wholly or partially invalid, the validity of the remaining provisions remains unaffected.
If the customer is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction is Hagen, Germany.
The provider is neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board (§ 36 VSBG).
These terms apply in conjunction with the current information on product, pricing and checkout pages as well as the privacy policy and imprint.
